Terms and conditions
REMOVE THIS BOX BEFORE PUBLISHING. These terms are a starting draft, not legal advice, and have not been reviewed by a lawyer. Sections 5, 10 and 11 are the ones worth paying an attorney to read: software deliverables, the liability cap and the venue clause. Confirm the county in section 12 is the one you actually live in.
Agreement to these terms
This website is operated by Jay Dixit, a sole proprietor in the Greater Harrisburg area of Pennsylvania, United States. By using this site you agree to these terms. If you do not agree with them, please stop using the site.
These terms cover your use of this website only. They do not cover consulting work, which is governed by a separate signed agreement as set out in section 4.
What this site is
This site describes my professional background and the kinds of consulting work I take on. It is informational. Nothing on it is an offer to enter a contract, and nothing on it creates a consulting relationship, a client relationship or any duty owed to you.
Sending me an email does not create a client relationship either. That begins only when a written engagement agreement is signed by both of us.
No professional advice, and no guaranteed outcomes
Content on this site is general information about business processes, internal tooling and information technology. It is not legal advice, accounting advice, tax advice, financial advice, employment-law advice, cybersecurity assurance or engineering certification, and you should not act on it as a substitute for advice from a licensed professional in the relevant field.
I make no promise about results. Process improvement, tooling and IT decisions depend on your people, your systems, your budget and choices you make after I am gone. This site contains no claim of specific savings, revenue increase, time reduction, uptime, compliance outcome or return on investment, and you should not infer one.
Consulting engagements are governed separately
All consulting work is governed by a written engagement agreement signed by both parties, covering scope, deliverables, fees, payment schedule, confidentiality, ownership of work product, software maintenance and support, data processing where applicable, and termination.
Where that agreement and these terms conflict, the engagement agreement wins. These terms do not amend it and do not add obligations to it.
Software and tooling deliverables
Where an engagement produces software, including browser-based tools, forms, checklists, calculators and dashboards, the following applies unless the engagement agreement says otherwise.
- Development method. I use AI coding assistants as part of how I build. All code is reviewed and tested by me before delivery, and I remain responsible for what I hand over. If you would prefer I not use AI tooling on your project, say so before we start and I will quote accordingly.
- No warranty of defect-free operation. Software is delivered as built to the agreed scope. No software is free of defects, and I do not warrant that a tool will be uninterrupted, error-free or fit for a purpose outside the agreed scope.
- You must validate outputs. A tool that automates a process does not relieve you of responsibility for the result. Before a tool is used for anything consequential, including anything affecting pay, employment status, tax, safety, regulatory filings or customer obligations, you must test it against known cases and keep human review in the loop. I am not responsible for decisions made on an unvalidated output.
- Maintenance is not included by default. Browsers change, requirements change, and a tool that works today may need adjustment later. Ongoing support, if any, is a separate arrangement in the engagement agreement.
- Third-party components. Where a deliverable includes open-source components, those are licensed under their own terms, which I will identify on delivery.
- Ownership. Ownership of custom work product transfers to you as set out in the engagement agreement, ordinarily on final payment. I retain rights in general methods, techniques and reusable components that are not specific to your business.
Intellectual property in this site
The text, layout, code and design of this site are mine and are protected by copyright. You may read it, print it and link to it. You may not republish it, copy substantial parts of it into your own site or materials, or present it as your own work without my written permission.
Third-party names and marks on this site, including Cisco, Hewlett Packard Enterprise, Google, IBM, Coursera, Credly and the Management and Strategy Institute, belong to their respective owners. They appear here to identify credentials I actually hold and training I actually completed. None of those companies endorses, sponsors, partners with or is affiliated with my consulting practice, and nothing on this site should be read as claiming otherwise.
The typefaces used on this site are Libre Franklin, Source Serif 4 and IBM Plex Mono, all licensed under the SIL Open Font License and self-hosted on this domain.
Accuracy of the credential record
The Credly credentials listed on this site are recorded on my public Credly profile, which is the authoritative source, and each entry links to its verification page so you can confirm it yourself. Where a credential has expired, the listing says so. The Six Sigma Black Belt is issued by the Management and Strategy Institute, and the credentials page states what accreditation MSI does and does not hold.
If you believe any entry is wrong or misleading, email me and I will correct it.
Links to other sites
This site links to external pages, including credential verification pages on Credly and the privacy policies of service providers. I do not control those sites, I am not responsible for their content or their practices, and a link is not an endorsement. Their terms and privacy policies apply once you leave here.
The site is provided as is
To the fullest extent permitted by law, this website is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, accuracy and non-infringement.
I do not warrant that the site will be uninterrupted, error-free or free of harmful components, or that any information on it is complete or current.
Limitation of liability
To the fullest extent permitted by law, I will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, lost revenue, lost data or business interruption, arising out of your use of this website, whatever the theory of liability and even if I was advised such damages were possible.
My total aggregate liability arising from your use of this website will not exceed one hundred United States dollars (US$100). Liability arising from a consulting engagement, including anything concerning software I build for you, is capped separately in the engagement agreement and not by this clause.
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of certain damages. Where that is the case, these exclusions and limitations apply only to the extent the law allows, and nothing here excludes liability for fraud, fraudulent misrepresentation, death or personal injury caused by negligence, or anything else that cannot lawfully be excluded.
Indemnity
You agree to indemnify and hold me harmless from claims, losses and reasonable legal costs arising from your misuse of this website or your breach of these terms. This does not apply to claims arising from my own negligence or wrongdoing.
Governing law and disputes
These terms are governed by the laws of the Commonwealth of Pennsylvania, United States, without regard to its conflict-of-laws rules. Any dispute arising from this website will be brought exclusively in the state or federal courts located in [confirm your county] County, Pennsylvania, and you consent to the jurisdiction of those courts.
If you are a consumer, this clause does not deprive you of the protection of mandatory consumer-protection laws in your place of residence.
Severability and changes
If any part of these terms is found unenforceable, that part is limited or removed to the minimum extent necessary and the rest stays in force. My failure to enforce a provision is not a waiver of it.
I may update these terms. The version on this page at the time you use the site is the version that applies, so the "last updated" date above is worth checking. Material changes will be summarised at the top of this page.
